Asian Airline Completes Major Pilot Training Infrastructure Acquisition for Over USD 100 Million

China – Hainan Airlines has completed the acquisition of Hainan Tianyu Flight Training Co., Ltd. for approximately 799.1 million yuan (USD 112 million), making the company a wholly owned subsidiary as part of a strategic move to expand in-house pilot-training capacity. The transaction was finalized in November 2025 following filings with the Shanghai Stock Exchange and reflects the airline’s broader vertical-integration strategy amid rising pilot-training demand across China.

  • Hainan Tianyu Flight Training Co generated revenue of 384.74 million yuan and a net income of 69.86 million yuan for the year ending 31 December 2024.
  • Hainan Airlines’ share price rose by around 2% following disclosure of the acquisition.
  • The transaction consumed approximately 42% of Hainan Airlines’ projected 2025 liquid assets, indicating a substantial financial commitment toward internal pilot-training capability.
  • Hainan Airlines previously purchased Tianyu Flight Training for RMB 696 million in April 2019, but the training entity was later divested amid the HNA Group’s restructuring. Despite the ownership shift, Hainan Airlines and its subsidiaries continued using Tianyu’s training services.
  • The facility houses more than 30 simulators
  • Full ownership of a training provider allows Hainan Airlines to control training scheduling, improve quality management, and reduce reliance on third-party partners as its fleet and route network expand.
