Canada – Aviation simulation and training group CAE has entered into a definitive agreement to sell Flightscape, its airline operations software business, to aviation technology provider SITA. The transaction forms part of CAE's portfolio restructuring strategy, with the company planning to direct capital towards its core civil aviation and defense simulation and training businesses.
- The transaction values Flightscape at US$500 million on an enterprise value basis, subject to customary adjustments. Completion is expected in the first half of 2027, subject to regulatory approvals and other closing conditions.
- CAE intends to allocate the proceeds towards investments in its core simulation and training businesses, alongside capital returns to shareholders, while maintaining financial flexibility.
- Flightscape provides airline operations software used daily by more than 90 airlines worldwide. Its solutions cover flight planning, crew management, operations control, ground activity coordination and in-flight services.
- SITA plans to integrate Flightscape's operational software capabilities with its existing aviation technology portfolio, including solutions for airline operational efficiency and disruption recovery. Integration work will begin following completion of the acquisition.
- Flightscape will continue operating under its existing arrangements until the transaction closes, with CAE and SITA indicating that customers can expect continuity in service, support and product development.
- The proposed divestment follows CAE's expansion into airline operations software through acquisitions, including its US$392.5 million purchase of Sabre's AirCentre airline operations portfolio in March 2022. In May 2025, CAE consolidated its airline operations software offering under the Flightscape brand.
- AFM previously reported that CAE began exploring strategic alternatives for Flightscape in May 2026, following a review of its business portfolio. At that time, CAE identified potential options including strategic partnerships, minority or majority investment, and a complete sale, as it sought to concentrate resources on its simulation and training operations.
Statements
- “We are proud of the business the Flightscape team has built and the market position it has earned. We believe SITA is the right owner for Flightscape’s next chapter and is well positioned to support its customers, employees, and continued growth. This transaction is fully consistent with our transformation plan and will sharpen CAE’s focus to our core Civil and Defense businesses, where we are best positioned to lead. Through this accretive transaction, we are strengthening our ability to deliver greater value for customers, drive profitable growth and create long-term shareholder value,” said Matthew Bromberg, President and Chief Executive Officer of CAE.
- “Airlines need to make the best possible use of their aircraft, crews and infrastructure while responding to increasingly complex operational challenges. With Flightscape, we will bring together our complementary capabilities to strengthen what we offer airlines and connect their operational decisions with insight from across the aviation ecosystem. That will help our customers anticipate disruption, recover more effectively and run more resilient operations," said David Lavorel, Chief Executive Officer, SITA.
