TXT to Acquire Embedded Graphics Technology from CAE’s Subsidiaries, Presagis Entities

TXT e-Solutions S.p.A. (“TXT”), a company listed on the STAR Segment of the Mercato Telematico Azionario organised and managed by Borsa Italiana S.p.A., informs that an agreement was signed for the acquisition of assets (“Asset Purchase Agreement” or “APA”) belonging to the Embedded Graphics business (“EG business”) of the companies Presagis Canada Inc, Presagis Europe S.A.S. and Presagis USA Inc.. All such companies are subsidiaries of CAE Inc. (“CAE”), a Canadian technology company that digitalizes the physical world, deploying software-based simulation training and critical operations support solutions. The closing of the transaction is subject to the fulfilment of certain conditions under the APA and is expected to take place in the third quarter 2023.

The object of the transaction is the Embedded Graphics business, which is based on a range of software solutions and services aimed at seamlessly integrating this solution into customer workflows. Over the years, the business has established itself as a worldleading provider of human machine interface (HMI) development tools and services for safety-critical and mission-critical systems. The main product family offered by the EG business is represented by VAPS XT, a modular tool launched on the market in 2011 and evolved over the years through continuous development and close collaboration with manufacturers of aircraft and first-class avionics systems.

Today, the VAPS XT product line offers HMI designers, avionics system designers, embedded software engineers as well as certification specialists maximum control and flexibility for creating interactive real-time graphical displays for avionics with the highest certifiability, safety and cybersecurity standards. With an open architecture and integrated logic functionality, VAPS XT provides the essential features for the design and implementation of certifiable cockpit displays in a model-based environment that supports all stages of development, from initial conception to deployment on embedded systems. VAPS XT also enables the generation of qualifiable code for rapid DO-178C certifiable software development, supporting state-of-the-art avionics standards such as ARINC 661.

The main assets of TXT’s investment encompass the technology associated with the proprietary solution portfolio and contracts with key players in the Aerospace & Defence market. Employees within the acquired business will also be transitioning to TXT. These employees consist predominantly of specialized technical resources, along with skilled commercial professionals. The objective of this investment is to maintain the successful trajectory of over a decade and propel the technological advancement of the invested Embedded Graphics solution portfolio.

In evaluating the transaction, TXT recognized substantial technological and commercial synergies from the integration of the EG offering within the portfolio of Smart Solutions for the Aerospace & Defence market already owned by the TXT Group. This integration will be particularly advantageous for TXT’s subsidiary PACE GmbH, which operates under the same business model and serves the EG business’ key customer base, including large enterprises and blue-chip companies. Additionally, the investment presents significant opportunities for up-selling, cross-selling, and geographical diversification within the engineering and system integration services associated with the VAPS XT software. TXT is already offering these services in the domestic market and can leverage this expertise to serve the extensive customer base targeted by the acquisition. This move capitalizes on the specialized skills honed by TXT over the course of more than ten years of presence in the embedded graphic segment for defence.

The acquisition of the Embedded Graphics business was unanimously approved by the Board of Directors of TXT. “The investment in Embedded Graphic represents a strategic step in the implementation of our growth plan” commented Daniele Misani, CEO of TXT, “by adding a new Smart Solution to our portfolio we strengthen our positioning in Aerospace & Defence market and we increase our international footprint. Thanks to the specialized technologies acquired and synergies with PACE and TXT E-Tech, the TXT Group aims to generate greater value supporting the innovation of aerospace giants’ products.” The acquisition of Presagis’ Embedded Graphics business marks a significant achievement in strengthening and expanding TXT’s Smart Solutions portfolio within the Aerospace & Defence sector, a market of long-standing strategic importance; for the continuation of 2023, in line with what has been previously communicated, TXT Group plans to continue its M&A plan with the consolidation of consolidated realities and smaller realities but with great potential, with the aggregation of technologies, specialised skills and excellencies in markets that are already proprietary or adjacent to the current ones, with ambitious growth targets.

Airbus has inaugurated its new A320 Family final assembly line (FAL) in Toulouse during a ceremony attended by French Minister of Economy & Finance Bruno Le Maire, French Transport Minister Clément Beaune, Minister of State for Industry Roland Lescure, and Minister of State for Territorial Collectivities and Rural Affairs Dominique Faure, as well as hundreds of Airbus employees.

“The inauguration of this new A321-capable final assembly line in Toulouse represents another milestone in the ongoing modernisation of our global industrial system. This FAL will contribute to the ongoing production rate ramp-up to 75 A320 Family aircraft per month in 2026, while meeting the increased demand for A321s which currently represents around 60 percent of the total A320 Family backlog,” said Airbus CEO Guillaume Faury. “We’re pleased to see this new facility join our worldwide network of final assembly sites which will comprise four FALs in Hamburg, Germany; two in Toulouse, France; two in Mobile, United States; and two in Tianjin, China, all them capable of assembling the A321.”

A variety of innovations feature prominently in this latest A320 Family final assembly line, with the aim of maximising product quality, efficiency, as well as establishing new standards for health, safety and sustainability. These innovations include digital production control using tablets and smartphones to reduce paper consumption, automated logistics for parts distribution and light-weight robots for joining sections.

Installed in the former A380 “Jean-Luc Lagardère” assembly building, the new FAL started initial operations at the end of 2022 with the delivery of the first fuselage sections. The roll-out of the first aircraft fully assembled in this facility – an A321 – is expected to take place by the end of this year. The industrial site will progressively ramp up operations between now and 2025, directly employing around 700 workers.

Flight Simulator Manufacturer, Simnest Aviation, Reduces its CO2 Emissions by Nearly 35 Tons Per Year

The assembly plant of Simnest Aviation, well known for its Airbus A320-based flight simulators, has undergone a major building energy efficiency upgrade. Thanks to the green development, the company’s factory in Hatvan, near Budapest, has become completely gas-independent and its electricity needs are met by a 48.8kWp solar panel system, reducing the building’s annual CO2 emissions by nearly 35 tons.

Simnest Aviation is one of the major Hungarian representatives of the international aviation industry. For almost ten years, the company has been producing its in-house developed simulators based on the Airbus A320 aircraft, which are currently used to train future commercial pilots in six countries around the world.

The 1000 square meter main building of their assembly plant, located in Hatvan, a small town near the capital, consists of two halls and a two-storey office building connecting them. The nearly €300 000 project involved insulating 768 square meters of wall surface, 237 square meters of slab and 538 square meters of roof.

Some of the unnecessary windows and doors of the building have been bricked up, and the remaining 55 windows and 5 garage doors have been replaced with insulated ones. In total, the 208 square meters of uninsulated or poorly insulated openings of the building were replaced by 158 square meters of modern insulated windows and doors.

The heating system of the building was also completely renewed, making the plant completely gas- independent. The new heating system is powered by four 4*16 KW air-to-water heat pumps with energy efficiency class A++.

A very significant increase in energy efficiency has been achieved by the installation of a 48.8kWp solar panel system in the courtyard of the building, which can supply both the consumption of the building and building services as well. Thanks to this development the site became self-sufficient in electricity.“As a simulator manufacturer, we are also aware of the impact of aviation on our living world. Therefore, we cannot be satisfied with providing the best possible training tools for future pilots, we must also contribute to a cleaner and healthier environment for them. We are proud of the fact that as a result of our energy efficiency improvements the annual CO2 emissions of our assembly plant have been reduced from 41.99 to 7,25 tons, and its energy demand has been reduced to almost zero,” commented Miklós Kacsó, CEO of Simnest Aviation.

Italian Group Helixcom Acquires Loft Dynamics H125 Simulator to Establish Training Center for Helicopter Pilots

Loft Dynamics AG (formerly VRM Switzerland), creator and operator of the world’s first and only virtual reality (VR) simulators qualified by a major aviation regulator, announced the sale of a VR Airbus H125 training device to Multicom based in Sicily, Italy. Helixcom – a subsidiary of Multicom – will use the simulator to establish a training and competence center for helicopter pilots. This is Loft Dynamics’ first simulator in Italy, demonstrating the region’s independent demand for such realistic training devices.

Helixcom will install and operate a Loft Dynamics H125 training device at their home base south of Caltanissetta, in the heart of Sicily, Italy. This showcases the versatility of the devices, as they can be efficiently operated in even the most remote locations. Pilots will no longer have to spend valuable time traveling to distant simulator centers. Having an on-site simulator also enables flexible scheduling of training sessions and checks, irrespective of weather conditions. An exemplary case is Air Greenland, which has already successfully integrated the Loft Dynamics training device into their operations in Nuuk, Greenland.

Helixcom currently operates five Airbus H125 Helicopters at their own airfield south of Caltanissetta, with three of them owned by their parent company, Multicom. By acquiring a Loft Dynamics simulator, Helixcom aims to establish a comprehensive training and competence center for helicopter pilots. This center will provide pilots with realistic training experiences, leveraging the numerous advantages of simulator training, including the execution of abnormal procedures and the ability to handle demanding scenarios through scenario-based exercises.

“Multicom will install a simulator at its aviation technical centre in Sicily, which complements existing authorized training organizations (ATOs), aircraft operators, and training centers. Safety is fundamental to any transport system, and it is our top priority. Helicopters are widely used in Europe, particularly in services such as HEMS (helicopter emergency medical service), surveillance, police operations, aerial work, and agriculture. Statistics show that progress in reducing helicopter fatalities in the EU has remained virtually unchanged in recent years. This is where simulators come in—they have proven to enable pilots to gain experience efficiently, safely, and cost-effectively. Simulators allow future pilots to practice various training scenarios and operational procedures tailored to their specific field of activity which has a positive impact on flight safety,” says Gianluca Mannino Gueli, owner of Multicom. The simulator installed at Multicom in Sicily is the first of its kind in Italy. “We are pleased that pilots in Italy now also have access to realistic state-of-the-art simulator training. This could be a sign that our training device will soon become established in other regions as well,” said Fabi Riesen, CEO of Loft Dynamics.
